Problem with Opus gallery, by Deleted on Nov 7, 2009 20:47:52 GMT 1, To Opus & Co - do not underestimate the wrath of this seemingly catty and frequently shallow board. Very very true... I would seriously have second thoughts on buying anything from them at this point... snap

How is it possible for a company to be re-bought by the same directors?

Problem with Opus gallery, by topper007 on Nov 8, 2009 19:13:05 GMT 1, How is it possible for a company to be re-bought by the same directors?
Quite a complicated question actually. What follows is dull but may be helpful.
The main purpose of an administration is to save the underlying business of a company if possible.
The administrator has a statutory duty to evaluate all offers for the business and assets of a company in administration. If an offer from its existing management is the best or (more likely) only offer and is a better result for creditors and employees than if the business were liquidated, the administrator is more or less obliged to sell to the existing owners.
A "pre-pack" deal is where the deal is effectively reached before the business is placed into formal insolvency and then simply executed by the adminsitrator immediately after his/her appointment. Naturally there has been some concern recently about this perfectly legal process being abused by business owners and adminstrators are now working under tougher new insolvency principles to ensure that pre-packs are not just being used as legal sophistry to avoid valid debts.
If a disgruntled creditor (such as the OP) wishes to complain about a โpre-packโ administration or considers they have been unduly disadvantaged by an administration (or any other corporate insolvency process) you can complain to The Insolvency Service
www.insolvency.gov.uk/aboutus/aboutusmenu.htm
The website also contains a lot of useful info for the layman about making complaints against directors of companies who are trading wrongfully (i.e. beyond the point where there is no reasonable prospect of the company avoiding an insolvent liquidation) or even fraudulently.

Problem with Opus gallery, by PamGlew on Nov 8, 2009 23:39:02 GMT 1, wow, this is shameful. Makes me so mad when galleries do this, may be worth calling every day and sending them a letter which is also sent to a solicitor, send Opus copies of all invoices by registered post, so that they need to sign for them as receipt, then follow up daily until you get paid. i will in future put pay in 30 days on all my invoices, its a shame that we can not just trust people!

Problem with Opus gallery, by Lettuce Bee on Nov 9, 2009 9:29:17 GMT 1, I once had a problem like this many years ago and a man in Liverpool phoned me and offered to get my money for a commission which was not over the top... I said what happens if they don't pay.. he said they always pay.. might be an idea to consult debt collectors in Liverpool...

Problem with Opus gallery, by afroken on Nov 9, 2009 13:19:06 GMT 1, If Opus is on its way out then someone who is owed money needs to petition for a winding up order fast. This will mean you appoint the liquidator should the order hold up. If they go into voluntary liquidation then they appoint the liquidator (although creditors can veto the appointment at the creditors meeting, but this happens very rarely).
There are obvious advantages to creditors appointing the liquidator and you may stand more chance of seeing your money.

Problem with Opus gallery, by silvermyn on Nov 9, 2009 17:19:20 GMT 1, At least the payment indicates that Opus aren't going under as quickly as some on here seem to think.
I'd certainly think twice about dealing with them if this is the way they treat their artists. It's hard to understand why they think they can get away with treating people like this. Customer service is so important for galleries. I'm very surprised that they have not offered an explanation or appology to you Jeff but they cetainly lost any cofidence I had in them as a reputable gallery.
Thank you for putting us all on notice.

You'd hope so, but if you were being cynical then you could look at it very differently
